Purpose and scope

These Terms govern the terms and conditions of use, by any natural person or legal entity ("User") of the Website and its content, including, without limitation, the structure of the Website, editorial content, images, illustrations, photos, graphic charters, trademarks, logos, acronyms, company names, audiovisual works, multimedia, visual content, audio content, as well as any other content included in the Website and/or any other elements of which the Website is composed (the "Content").

The Website is the property of AGICAP, a simplified joint-stock company with a capital of €22,405 whose registered office is located at 57, rue de St Cyr, 69009 Lyon, registered with the Lyon Trade and Companies Register under the unique identification number 823 248 703 (the "Company").

The purpose of the Website is to inform the Users of the existence of the paid services offered by the Company (the "Services"), including in particular a SaaS solution for cash management, bill payment, fee collection and expense management, and to make available to the Users, free of charge, a set of documentary and video resources on financial management.

The Services can be purchased by the User by contacting the Company through the dedicated tabs on the Website, the online contact form or by telephone as indicated on the Website.

The Company reserves the right to modify at any time, in whole or in part, the terms and conditions of these Terms without prior notice or information to the Users. They will be considered fully accepted by all Users who access the Website after their publication. The Company therefore invites all Users to consult the Terms periodically.

Access and Use of the Site

Access to the Site and its Content is free of charge and does not require prior registration. Access to the Services requires the creation of a user account, governed by separate general terms of service, accepted at the time of registration.

In the context of the use of the Site and its Content, the User undertakes to comply with the laws and regulations in force, to respect the rights of third parties and the provisions of these Terms, and in particular to:

  • Not to use the Site to commit crimes, misdemeanours or contraventions punishable by law;

  • Not to use the information on the Site directly or indirectly for commercial purposes;

  • Inform the Company as soon as the User becomes aware of an act of piracy and, in particular, of any illegal or unauthorized use of the Site and/or the Content, regardless of the way in which they have been disclosed; and

  • Not to sell, rent, sublicense, distribute or make available to third parties, in any way, the Site and/or the Content.

The Company reserves the right, at any time, in its sole discretion and without prior notice, to:

  • suspend or remove access to the Site to one or more Users and to take all measures against them, if the Company considers that such User(s) do not comply with these Terms; and

  • modify, correct or delete all or part of the Content or interrupt or block all or part of the Site for any reason whatsoever, in particular for maintenance purposes, without compensation.

Intellectual Property

Access to the Site confers on Users a personal and non-exclusive right to use and access the Site. Except for the foregoing, no other rights (license, title, other) are granted to the User in relation to the Company's intellectual property rights, unless agreed otherwise in a separate agreement such the acceptance of the Company's general terms of service.

All Content and/or the Site itself are protected by copyright, trademark law, design law and/or any other intellectual property right. Any reproduction, transmission, distribution, use, adaptation, modification, incorporation, translation, marketing, in whole or in part by any process and on any medium whatsoever (paper, digital, etc.) is prohibited, without the prior written consent of the Company.

The Company would like to reiterate its commitment to apply the obligations of the amended law 78-17 of 6 January 1978 relating to data processing, files and freedoms, the provisions of EU Regulation 2016/679 of 25 May 2018 on data protection (hereinafter, the "GDPR") as well as the ethical principles arising therefrom with regard to the personal information that the User may be required to communicate to it in the context of his navigation on the Site.

Limitation of Liability

Applicable law and jurisdiction

These Terms are governed by and construed by French law.

In the absence of an amicable resolution, any dispute arising from the present contractual relationship, and subject to the provisions of public policy applicable to jurisdiction, will be subject to the jurisdiction of the courts within the jurisdiction of the Lyon Court of Appeal.
